Terms of Service

1. Scope of Services

LLCFox is an independent filing, administrative, mail-handling, and workflow support service for business formation and compliance tasks. We are not a law firm, tax firm, investment adviser, or public accounting firm. LLCFox is not affiliated with, endorsed by, or sponsored by the Internal Revenue Service (IRS), any U.S. state agency, or any other government body. Nothing on this website or in our communications is legal, tax, accounting, or financial advice. You remain responsible for obtaining professional advice that fits your facts and jurisdiction.

2. Eligibility and Client Authority

By placing an order, you represent that:

• You are authorized to act for yourself or the business entity involved.
• The information and documents you provide are accurate, complete, and current.
• Your business activities are lawful and do not violate sanctions, anti-money-laundering rules, or payment network rules.

3. Orders, Pricing, and Payment Authorization

By submitting an order, you authorize LLCFox and our payment processor to charge the payment method you provide for the services selected at checkout, including any disclosed recurring renewals.

• Government and third-party fees: State filing fees, courier charges, card processing costs, and third-party pass-through costs are charged as disclosed and may change if the government or third party changes its pricing before submission.
• Work starts after payment: We may begin document preparation, submission coordination, or partner routing once payment is authorized.

4. Cancellation, Refunds, and Billing Disputes

• Government and third-party charges: Fees already paid or committed to a government office, registered agent partner, courier, or payment processor are non-refundable once those parties have collected or accrued them.
• Before substantive submission — service fees: If you cancel before we have submitted documents to a state agency, the IRS, or a third-party registrar, we will refund the service fee, less any non-recoverable payment processing costs and any government / third-party fees that have already been paid or committed.
• After substantive submission — service fees: Once filings have been submitted on your behalf to a state agency, the IRS, or a third-party registrar (for example, Articles of Organization filed with the state, Form SS-4 submitted to the IRS, or Form 1120 / 5472 transmitted to the IRS), service fees are non-refundable except where required by law, because the work and the associated submission cannot be undone.
• Subscriptions: Recurring renewal charges are governed by Section 8. Cancelling future renewals does not refund a renewal already paid for the current period unless required by law.
• Billing questions: Please contact support@llcfox.com before opening a bank or card dispute so we can review the matter promptly.

5. Your Compliance Responsibilities

You are responsible for your company and its legal and tax obligations unless a specific paid service expressly states that LLCFox will complete a filing for you.

• You must review your documents, maintain a valid contact email, and respond to requests for information in a timely manner.
• You are responsible for taxes, annual or periodic reports, maintaining a registered agent, and any ownership or regulatory filings that apply to your business.
• You are responsible for truthful and complete IRS, state, tax, ownership, and identity information. If false, incomplete, or late information causes penalties, rejection, audit issues, or other consequences, that risk remains yours.
• Courtesy reminders, dashboard notices, or general educational materials do not transfer legal responsibility from you to LLCFox.

6. Timing, Third Parties, and No Guarantee

Government agencies, the IRS, banks, payment processors, and third-party service providers make their own decisions and set their own timelines. LLCFox does not guarantee formation approval dates, EIN issuance dates, tax outcomes, mail delivery times, or approval by any bank, marketplace, or payment platform.

7. Address and Mail Use Rules

Our registered agent address is for service of process and official state or government correspondence only, unless you separately purchase a business address or mailroom plan that states otherwise.

• We may refuse or return prohibited mail, packages, or items outside the scope of your plan.
• Business address and mailroom services are governed by the specific limits, forwarding rules, scan allowances, and acceptable-use rules shown on the applicable service page or order page.

8. Subscriptions and Auto-Renewal

If a service is sold on a recurring basis, it renews automatically according to the billing period shown at checkout unless you cancel before the renewal date. Mid-cycle cancellations stop future renewals but do not create a prorated refund unless required by law. Unless a service page or written notice states otherwise, cancellation does not immediately terminate the current paid service period; registered agent, address, mailroom, and compliance services continue through the end date shown in your dashboard, subject to these Terms and partner rules.

9. Suspension, Termination, and Refusal of Service

We may pause, refuse, or terminate services if we believe the account involves fraud, sanctions issues, unlawful activity, abusive conduct, false information, or use that exposes us or our partners to regulatory or operational risk. We may also pause services while a payment dispute or identity review is being investigated.

10. Limitation of Liability and Indemnity

To the maximum extent permitted by law, LLCFox is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost opportunities, lost business relationships, or loss of data.

You agree to indemnify and hold harmless Async Lab LLC and its personnel and service partners from claims, losses, penalties, and expenses arising from your inaccurate information, unlawful conduct, misuse of the service, or your failure to satisfy obligations that remain your responsibility under these Terms.

11. Intellectual Property

LLCFox owns or licenses the website, dashboard, brand assets, workflows, templates, software, copy, and service materials we provide, excluding your business information and documents you provide. You may use deliverables for your own business records, but you may not copy, resell, reverse engineer, or commercially reuse LLCFox materials without written permission.

12. Force Majeure

LLCFox is not responsible for delay or failure caused by events outside our reasonable control, including government delays, IRS outages, payment network interruptions, hosting failures, labor disruptions, disasters, war, sanctions, regulatory changes, or failures by third-party providers.

13. Changes to These Terms

We may update these Terms from time to time. Material changes may be shown on the website, in the dashboard, by email, or by updating the date above. Continued use of LLCFox after updated Terms are posted means you accept the updated Terms.

14. Governing Law

These Terms and any dispute relating to LLCFox are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law rules.

15. Dispute Resolution and Class Action Waiver

Before filing a claim, you agree to contact support@llcfox.com and give us at least thirty (30) days to try to resolve the issue informally.

To the maximum extent permitted by law, disputes must be resolved by binding individual arbitration in Bernalillo County, New Mexico, or another mutually agreed location, rather than in court. You and LLCFox waive the right to a jury trial and agree that claims may be brought only individually, not as a class, collective, consolidated, or representative action.
